Per Day, Per Form
Late filing carries ₹100 per day, per form, with no upper cap. Six months late on two forms runs into tens of thousands.
Director Disqualification
Three consecutive years of non-filing disqualifies every director for five years under Section 164(2)(a), across all companies, not just this one.
INC-20A Penalty
Commencement of business must be filed within 180 days of incorporation. The filing fee is ₹500; the penalty for missing it reaches ₹50,000.
Annual Compliance Cost
Audit, filings, and professional fees run ₹30,000 to ₹50,000 every year, whether or not the company trades.
First Auditor
The board must appoint a statutory auditor within 30 days of incorporation, or the members must do so within 90.
Filings Are Sequenced
AOC-4 must precede MGT-7, and valid DIR-3 KYC must precede both. The portal enforces the order, a missed KYC blocks the annual filing.

What Begins The Day The Certificate Is Issued
Registration is the short part. These obligations recur every year for as long as the company exists.
DIR-3 KYC
Every director, annually. A flat ₹5,000 late fee, and a lapsed KYC blocks the company's annual filings.
AOC-4, Financial Statements
Within 30 days of the AGM. If the AGM is held on 30 September, the due date is 30 October.
MGT-7, Annual Return
Within 60 days of the AGM. Small companies and OPCs file MGT-7A instead.
DPT-3
Return of deposits, filed annually regardless of whether the company has accepted any.
MSME-1
Due 30 April and 31 October where payments to MSME suppliers are outstanding beyond 45 days.

At least two board meetings each calendar year, and an AGM with no more than 15 months between them.
