
A one person company has a single member. If that person dies or becomes incapable of contracting, the company would have no owner and no one able to act. The nominee exists to close that gap.
It is not a formality to be filled in with whoever is standing nearby. The nominee inherits the entire company, and most founders name someone without ever explaining that to them.
What the nominee actually agrees to
On the death or incapacity of the sole member, the nominee becomes the member of the company. Not a trustee, not a caretaker, the owner, with the shares, the liabilities and the obligations that come with them.
- They take on the member's shares
- They become responsible for the company's continuing compliance
- They may themselves be required to appoint a new nominee
- They can decline at the time, but that has to be dealt with then, not assumed now
Tell the person you are naming what it means before you file. A nominee who learns of their position from a company secretary after a death is a problem for your family, not a solution.
Who can be a nominee

The same restrictions apply to the member. A person may be the member of only one OPC, and may not be the nominee of another at the same time. If you already hold one OPC, you cannot incorporate a second.
The 120-day residency test replaced the earlier 182-day test through the Companies (Incorporation) Second Amendment Rules, 2021. A number of published guides still cite 182 days.

Form INC-3 is the nominee's own consent, signed by them. It cannot be signed on their behalf, which is the practical safeguard against naming someone who does not know.
Changing the nominee
There are three situations, and they are handled differently.
The member wants to change the nominee
The member may do this at any time, for any reason. Obtain fresh consent in Form INC-3 from the incoming nominee, and file Form INC-4 with the Registrar within 30 days, along with the amended Memorandum.
The nominee withdraws their consent
A nominee may withdraw. Where that happens, the member must nominate someone else within 15 days of receiving the withdrawal notice, and the company must file Form INC-4 within 30 days of that new nomination.
The nominee becomes ineligible or dies
The same process applies. A fresh nomination is made, consent obtained in Form INC-3, and Form INC-4 filed within 30 days.
What happens when the member dies
- The nominee becomes the member of the company
- They must nominate a new person as nominee within 15 days of becoming the member
- The company files Form INC-4 recording the change
- The company continues, this is the entire point of the structure
Compare this with a sole proprietorship, which has no separate existence and simply ends with the proprietor. Continuity is one of the two things you are actually buying when you incorporate an OPC; limited liability is the other.
Choosing well
- Choose someone who would genuinely want to run or wind up the business, not simply the closest relative
- Confirm they meet the citizenship and 120-day residency tests, an NRI relative usually does not
- Confirm they are not already the nominee of another OPC
- Tell them what the role means, in plain terms, before asking for their INC-3
- Align the nomination with your will, the two should not say different things
Mistakes we see
- Naming a nominee who was never told, and who declines when the moment comes
- Naming an NRI parent or sibling who fails the residency test
- Naming someone already acting as nominee for another OPC
- Never updating the nomination after a death, emigration or estrangement
- Filing Form INC-4 late, it is due within 30 days of the change
- Assuming the nominee is a caretaker rather than the incoming owner
