Private Limited Company Registration Fees In India — Dhull Consultancy Private Limited

The same private limited company, incorporated on the same day with the same capital, costs ₹195 in state stamp duty in Haryana and ₹15,025 in Punjab. Nothing about the company differs. Only the address on the registered office.

That single line is why registration quotes vary so widely, and why a quote that does not name the state it assumes is not a quote. Below is our own fee schedule, state by state, with nothing rolled up.

State stamp duty, by authorised capital

Stamp duty on the Memorandum, the Articles and the incorporation form is levied by the state where the registered office sits, under that state's own Stamp Act. It is the largest variable in the whole exercise.

All twenty-eight states and eight union territories. Each figure is the SPICe+ eForm stamp plus MOA and AOA duty combined, computed from each state's current charging rule rather than copied from a rate list. Stamp duty is revised by state notification without much publicity, so we confirm the figure on the portal before every filing, and so should anyone quoting you.

Two entries in that table are worth knowing about even if you will never use them. Sikkim charges nothing at all. Punjab, at ₹15,025 for a ₹10 lakh company, charges more than seventy times what Haryana does for the identical filing. Neither number reflects anything about the company. Both are the state you happened to put the registered office in.

What this means if you are in Hisar

Haryana is among the cheapest states in the country to incorporate in. At ₹10 lakh authorised capital the duty is ₹195. In Uttar Pradesh it is ₹1,010. In Delhi, ₹1,710. In Rajasthan, ₹5,510. In Punjab, ₹15,025. Only Himachal Pradesh, at ₹183, is cheaper among the states around it.

Haryana is also almost flat. The duty moves from ₹135 to ₹195 as capital goes from ₹1 lakh to ₹15 lakh, and then stops. In Gujarat the same increase takes you from ₹620 to ₹7,620, and in Delhi from ₹360 to ₹2,460. So the authorised-capital decision that costs real money elsewhere costs sixty rupees here.

A private limited company requires a minimum of two directors, so it requires a minimum of two digital signatures. Any quote showing one has either assumed a structure you cannot legally incorporate, or is about to send a second invoice.

Digital signatures are needed for each subscriber to the Memorandum and each proposed director signing the forms. Not for every shareholder, not for family members on the cap table, and not for anyone joining later. Buying three you did not need is real money spent on nothing.

What carries no charge at all

These are bundled into the SPICe+ form and issued as part of incorporation:

  • Director Identification Number for each first director
  • EPFO and ESIC registration
  • Profession tax registration, in the states where it applies
  • GSTIN, if you opt for it through the AGILE-PRO-S form
  • Bank account opening, initiated through the same application

Any quote that lists these as separate billable government items is padding. Ask for them to be removed.

Registrations people bundle in, and what they really are

Three things are commonly added to an incorporation quote as though they were government charges. They are not. Udyam and GST registration carry no government fee at all, and are free to do yourself on the respective portals. What you are paying for, if you pay, is somebody doing them for you:

  • Udyam registration, which is MSME registration, free on the government portal
  • GST registration, free on the GST portal
  • Shop and Establishment registration, where state charges do apply

We are happy to do any of them and we charge for our time when we do. We will not put them in a column headed government fees, and neither should anyone quoting you.

The two decisions that inflate the bill

Authorised capital set higher than the business needs

Stamp duty is calculated on authorised capital, and the SPICe+ filing fee is nil only up to ₹15 lakh. Above that it starts to apply, and ROC fees on several later filings are scaled to the same number for as long as the company exists.

₹1 lakh to ₹10 lakh covers almost every new company. Setting ₹50 lakh because it sounds more substantial raises your duty now, raises your recurring fees permanently, and buys nothing until you actually issue those shares. Form SH-7 raises it in a few days on the day you genuinely need it.

Paying for a structure before the business needs one

Registration is a one-off. Compliance is every year, whether the company trades or not.

How to read a registration quote

The usual pattern is a headline of ₹1,999 or ₹2,999 agreed on a call, followed by charges that appear after you have committed. Stamp duty billed at a markup. Digital signatures at twice cost. A line reading government fees with no breakdown. Five questions expose most of it:

  • Are government charges and professional fees itemised separately?
  • Which state's stamp duty does this assume?
  • What authorised capital does it assume?
  • How many digital signatures are included?
  • What will the first full year of compliance cost?

The last one matters most and is answered least often.

Questions About Private Limited Registration Fees

The short version

Setting up a two-director company at ₹10 lakh authorised capital comes to ₹5,338 in Haryana before professional fees. In Punjab the same company is over ₹20,000, and the entire difference is stamp duty.

Register where your business is, keep authorised capital to what you need, buy exactly as many digital signatures as you have directors, and budget for the annual compliance cost rather than the setup cost. That last figure is the one that decides whether a private limited company was the right structure at all.
